Dear Colleagues:

The Board of Directors of Sexual Health Innovations (SHI) seeks nominations of individuals to serve on the Board for a three-year term. All terms will be effective January 1, 2017. Nominations will close on July 31, 2016.

Sexual Health Innovations is a rapidly growing six-person 501(c)3 nonprofit with a mission to create technology that advances sexual health and wellbeing in the United States. Our main initiatives are Callisto, an online sexual assault reporting system for college campuses, and So They Can Know, a website that helps people who have been diagnosed with STDs notify their partners.

We are recruiting up to 3 new board members to uplift and support our work. We seek to identify candidates with the following characteristics:

  • Nominees who will reflect the diverse populations we aim to serve, including diversity in age, race, ethnicity, sexual orientation, and gender identity and expression.
  • Expertise in one or more of the following:
    • Fundraising -- leaders in generating and securing significant philanthropic support
    • Nonprofit Board Management -- experience chairing nonprofit boards
    • Technology -- experience on the executive team of technology companies or who have previously advised technology startups
    • Finance -- expertise in financial management, budgeting & forecasting, investment management, financial reporting, and audit oversight. We are interested in candidates from a professional background such as a CFO or CPA.
    • Legal -- attorneys with a legal background in an area relevant to nonprofits or SHI's work (technology, HIPAA, contracts, or sexual violence litigation)

OVERVIEW AND QUALIFICATIONS SUMMARY

As a member of the Board of Directors for the 501c3 nonprofit organization Sexual Health Innovations, you will have a legal and ethical responsibility to ensure that the organization does the best work possible in pursuit of its mission. This includes ensuring that SHI is well managed and fiscally sound, and acting as trustee of SHI's assets. As part of this work, you will provide oversight of SHI's operations and maintain the legal and ethical accountability of its staff and volunteers. You are expected to believe in the purpose and the mission of the organization, and to act responsibly and prudently as its steward.

A Board has three main legal responsibilities:

  • Duty of care: Actively participating in organizational planning and decision-making and to make sound and informed judgments.
  • Duty of loyalty: When acting on behalf of the organization, putting the interests of the nonprofit before any personal or professional concerns and avoiding potential conflicts of interest.
  • Duty of obedience: Ensuring that the organization complies with all applicable federal, state, and local laws and regulations, and that it remains committed to its established mission.

In addition to fulfilling legal responsibilities, Board members must evaluate financial policies, approve annual budgets, and review periodic financial reports to ensure that the organization has the necessary resources to carry out its mission and remains accountable to its donors and the general public.

As part of your responsibilities as member of the Board of Directors for Sexual Health Innovations:

  1. You will attend the majority of Board of Directors meetings within a given year, which occur three or more times a year, by phone, video conference, or in-person. At least one of these meetings will be in-person. Board meeting days/times will be set by the Chair of the Board in consultation with all board members and Sexual Health Innovations' CEO.
  2. You will RSVP your attendance for board meetings at least two business days in advance to the Chair of the Board.
  3. You will stay informed of the activities and current challenges at Sexual Health Innovations. You will ask questions and request information. You will participate in and take responsibility for making decisions on issues, policies, and other board members.
  4. You will work in good faith with the CEO and other board members as partners towards achievement of Sexual Health Innovations' goals.
  5. You will participate in the fundraising activities of the organization to meet its annual objectives.
  6. You will make an annual financial contribution.
