The Senior Grants and Contracts Manager/Counsel will be tasked with the preparation, drafting, review and negotiation of contractual agreements with a special emphasis on agreements that support biomedical research initiatives and partnerships. S/he should have a strong customer service orientation and be able to identify process improvements so that transactions are completed with the right balance of efficiency and risk mitigation. S/he will serve the contracting needs of colleagues across the Foundation. Strong writing, analytical and organizational skills must be matched with a sense of flexibility, entrepreneurial spirit and good cheer.


KEY RESPONSIBILITIES


Contract Formation and Administration

  • Work with colleagues in a timely manner to develop a project’s overall contractual structure so that the full suite of potential agreements and obligations is laid out and well understood.
  • Prepare, draft and negotiate the terms and conditions of contractual agreements, particularly instruments that support biomedical research initiatives, including research collaboration agreements, scientific service agreements, confidentiality agreements, clinical trial agreements and data sharing agreements. From time to time, prepare, draft and negotiate other contracts such as grant agreements, general service contracts, donor agreements and memoranda of understanding with the NIH.
  • Understand the Foundation’s policies and contractual stances. Analyze terms proposed by counterparties which may be inconsistent with the Foundation’s stances and discuss their implications with the project/business owners.
  • Facilitate the execution and delivery of completed contracts. Ensure they are stored appropriately and relevant staff are made aware of the obligations that must be fulfilled.
  • As appropriate, assist project/business owners to track Foundation and counterparty compliance with existing agreements.
  • Close out contracts once obligations are fulfilled and/or agreements are terminated.


Process Improvements and Other


  • Work with the Operations Department to analyze the Foundation’s existing agreements, refine contract templates (including default provisions and alternative language) and work with key staff to generate consensus on new template language.
  • Recommend policies for negotiating key contractual clauses, develop checklists/protocols for analyzing instruments drafted by counterparties and format templates into a consistent form.
  • Develop a sophisticated understanding of the Foundation’s insurance coverages. Identify ways to mitigate gaps related to contractual risks (e.g. through additional insurance or transfer of risk).
  • Provide thought leadership into contract formation, administration and technology. Lead projects as appropriate to implement improvements.
  • Provide excellent customer service to project/business owners. Be responsive, efficient and friendly with counterparties.
  • Perform additional duties as required.


QUALIFICATIONS

  • A Bachelor’s degree is essential. An advanced degree (e.g. J.D.) is highly desirable.
  • At least 5 years as a contracts officer (or as lawyer working with contracts) is required. Experience negotiating and completing contracts in the biomedical research sphere (in particular, clinical trial and data sharing agreements) and understanding and interpreting general and biomedical insurance coverages is highly desirable.
  • Demonstrated ability to analyze legal, risk and business factors and explain them clearly to business owners and senior staff. In particular, experience in considering the implications of licensing, intellectual property, indemnification, insurance coverage, confidentiality, federal and international biomedical and financial regulation and conflicts of interest matters is desirable.
  • The position requires a high level of curiosity, initiative, resourcefulness, entrepreneurial spirit and a willingness to learn a broad portfolio of research initiatives at a scientific foundation. Discretion and tact are important.
  • Knowledge of laws and regulations pertinent to the FNIH as a public charity, international giving requirements, and grants and contracts management practices is desirable.
  • Experience working with government contracts (on the GSA schedule) is highly desirable but not required.
  • S/he must be a team player and contribute positively to the team and organization’s dynamic. The position requires resilience and the flexibility to adapt to changing conditions. S/he must possess excellent writing, editing, analytical and oral communication skills along with an ability to distill complex contracting concepts into understandable language.
  • Knowledge of basic computer programs (e.g., Microsoft Office) is required. Contracts/grants database experience is desirable.
