ABOUT OUR ORGANIZATION. As You Sow is a nonprofit organization that promotes environmental and social responsibility through corporate dialogue, shareholder advocacy, and innovative legal strategies. We are one of the nation's leading practitioners of shareholder advocacy, moving companies to take greater responsibility for the social and environmental impact of their operations.
As You Sow also focuses on enforcement of California's “Safe Drinking Water and Toxic Enforcement Act,” known as Proposition 65, a toxic right-to-know law. Since 1992, As You Sow has been working to bring hundreds of manufacturers and industries into compliance with the law, encouraging innovative settlements that reduce hazardous emissions, eliminate consumer exposures to toxics, and provide funds to groups working to decrease people's exposure to toxic chemicals. We recently reached a settlement with a large segment of the chocolate industry to institute a joint study to find and reduce the sources of lead and cadmium in chocolate.

POSITION SUMMARY. As You Sow is seeking a creative and resourceful lawyer (CA bar) with proven litigation and environmental/conservation/Securities & Exchange /health advocacy experience. In collaboration with As You Sow's Chief Counsel, the Associate Attorney (“Attorney”) will oversee the development and coordination of the organization's Toxic Enforcement Program and assist other programs (Energy, Environmental Health, Waste, Human Rights) with legal needs on shareholder actions where appropriate.
Proposition 65: Approximately 75% of the Attorney’s time will be spent on Prop 65 work. The candidate must have good working knowledge of California's Proposition 65 as well as general knowledge and experience in state and federal statutes regulating consumer products. The Attorney will work collaboratively with the General Counsel and team members to be responsible for a range of activities including developing and initiating Proposition 65 and other legal cases; litigating cases as appropriate; working closely with outside counsel and law clinics; researching legal issues as they develop; overseeing scientific research on chemicals and products; managing investigation and development of factual support for legal cases; and working with outside experts.
Shareholder Advocacy or Other Legal Issues: Approximately 25% of the Attorney’s time will be spent on shareholder or other program-related work. As You Sow works extensively on shareholder engagement under SEC 14(a)8, filing an average of 45 shareholder resolutions each year. Some of these resolutions are challenged by corporations. The Attorney will work with General Counsel and potentially outside counsel in responding to SEC legal challenges. Other work may include filing SEC petitions on a range of environmental and social issues, conducting shareholder derivative actions in collaboration with outside counsel, filing regulatory petitions with environmental or health agencies, developing class action lawsuits.
General: Candidates should also be comfortable researching scientific literature and reviewing and understanding technical information. Ideally, the Associate will have some basic understanding of environmental health and/or biochemistry. Attention to deadline, project management, keeping milestones for research projects, and the ability to communicate about progress are essential.
- J.D. degree with two to four years legal experience, and active California State Bar membership or willingness to take (and pass) the California Bar.
- Experience in environmental and/or health-related issues.
- Excellent legal research, writing, and analytical skills.
- Strong verbal, communication, and interpersonal skills.
- Candidates should be exceptionally organized, self-motivated, solution oriented.
- A willingness to assume a varied caseload.
- Substantive knowledge of the state and federal legal areas affecting consumer products.
- Ability to effectively communicate and to work collaboratively
- Computer literacy – familiarity with Windows, MS Office/Outlook, Lexis, and Westlaw.
- Ability to read scientific literature, background in and/or knowledge of (bio)chemistry encouraged.
- Strong organizational and time management skills; excellent attention to detail a must.
- Demonstrated ability to handle and prioritize multiple tasks and meet deadlines in a fast-paced environment
- Initiative, creativity, drive, persistence, and committed to excellence.
- Interest in environmental and social issues, as well as corporate responsibility.
- Sense of humor is a plus.
