American College of Obstetricians and Gynecologists (ACOG), a membership organization dedicated to the advancement of women's health care in Washington, DC, is currently seeking an Associate General Counsel to provide legal advice and representation to the two ACOG corporate entities on all aspects of ACOG's activities, including advising Committees, staff, sections, districts, and Executive Board, with emphasis on College contracts, grants, litigation, privacy, employment law, and intellectual property.


  • Provide analysis, advice, and legal counsel to national and district staff regarding legal aspects of ACOG's operations and programs. Work closely with members of every department within ACOG to ensure compliance with legal, regulatory, and contractual requirements and to reduce the risk of liability for ACOG.
  • Negotiate, draft, and/or review contracts with a wide range of complexity, including commercial leases, construction contracts, intellectual property licenses, publishing contracts, consultant agreements, and HIPAA business associate agreements.
  • Represent ACOG in the preparation of amicus curiae briefs in legal cases of importance to ACOG members and their patients, including cases involving restrictions on access to reproductive healthcare.
  • In the absence of the CLO, provide analysis, advice, and legal services to the College's Executive Board, districts, sections
  • Serve as a legal resource for national staff, the districts and sections, Fellows, and the general public. Keep apprised of legal developments affecting the organization. Provide analysis, counsel and advice by interpreting laws, regulations, court decisions, and rules affecting the work of ACOG.
  • Provide legal guidance to the Human Resource staff. Assist the CLO in addressing personnel issues. When necessary, assists in the development of performance improvement plans and probationary memoranda. Investigate complaints of alleged violations of the Policy Against Discrimination and Harassment.
  • Review drafts of College publications and communications as requested or required.
  • Represent the College in litigation before administrative agencies and state and federal courts, including third-party subpoenas. Supervise outside co-counsel in such proceedings.
  • All other duties as assigned

  • Graduation from an accredited law school, active license to practice law in the District of Columbia
  • Minimum of 8 years of experience in the practice of law, preferably involving nonprofit corporation, privacy law, grants, and employment law.
  • Five years' experience supervising other attorneys
  • Ability to handle a wide range of legal issues.
  • Must be highly motivated, take initiative and maintain professionalism and confidentiality
  • Must be organized, manage priorities, detail oriented and able to work under deadlines.
  • Must have excellent interpersonal skills and customer service orientation.
