THE OPPORTUNITY

The Senior Director, Global Operations & Governance – a new position created due to ongoing and projected growth (in terms of revenue, staffing, and operational complexity of the fund model) – will support good governance by directing legal affairs and ensuring full implementation of organizational policies and practices; oversee global operations and systems that facilitate team productivity in alignment with organizational culture; and contribute to strategic and operational planning for a grantmaking organization with a lean, globally distributed workforce. 

The successful candidate will be an attorney committed to serving as in-house counsel for a mission-driven organization. They will be a thoughtful and experienced manager – both a strategist and a doer – with a demonstrated track record in global operations management, corporate governance and/or legal affairs, and enthusiasm to bring their unique skill set to bear in this new role. They will be a self-starter who enjoys working in an environment of organizational change, and is willing to co-create a new role in a complex, growing organization. They will make an immediate impact at the END Fund by reviewing and evaluating current operations and governance practices, and designing and implementing best-in-class tools and policies to support the END Fund’s growth into its next stage. The Senior Director will report to the Vice President, Strategy & Operations, and will be a people manager to the NYC Office Manager upon hire, with the potential for further team growth as resources permit.


ESSENTIAL FUNCTIONS & CORE COMPETENCIES

Support good corporate governance and robust risk mitigation and preparedness. 

  • Lead ongoing, continual strengthening with regard to organizational policies and practices for the END Fund’s US and UK charitable entities, in partnership with all departments, the Board Governance & Nominating Committee, and external advisors
  • Review and improve contracts management, vendor selection, and delegated authority practices across the organization, incorporating a diversity, equity and inclusion lens
  • Provide drafting, legal review and due diligence for grant agreements, vendor and consultant contracts, and other materials on a regular basis
  • Partner with the Lead, Culture & Talent (hiring in progress) to ensure broad staff education on organizational policies and practices, including issues escalation
  • Contribute to organizational and investment risk assessment, mitigation, control and escalation as necessary, in support of good governance by the management team and Board of Directors; update the organizational risk register on at least a quarterly basis for Board review
  • Support internal and external investigations and incident response as needed, in partnership with the Lead, Culture & Talent; Communications colleagues; and senior leaders

Ensure the END Fund has adequate systems, equipment and infrastructure to support its operations now and into the future, helping to promote and resource a workplace culture supporting efficiency, productivity and communication.

  • Ensure the END Fund is legally compliant in every geography in which it operates; research registration options to inform strategic discussions on global organizational structure and geographic footprint, and lead on decision implementation
  • Oversee design, implementation and administration of systems enabling headquarters-based, remote and traveling staff to be fully productive (including but not limited to permanent and ad hoc equipment, systems design and administration, training and education)
  • Oversee the END Fund’s physical infrastructure, ensuring a safe and secure headquarters in NYC and future potential physical spaces in Europe or Africa, lease management and vendor management
  • Partner with the NYC Office Manager to reopen the NYC headquarters and manage COVID-19 risk for office-based and traveling staff, prioritizing communication and team member safety 
  • Research and implement operational requirements for remote staff in the U.S., Europe and Africa, including identification and management of external resources as needed, with a diversity, equity and inclusion lens

Contribute to short- and longer-term strategic and operational planning with regard to resource optimization amidst organizational growth.

  • Manage organizational budget for legal affairs, office rent and utilities, IT and telecommunications, and supplies 
  • Develop and present regular reports to the Vice President on operational expenditures and scenario-based projections to inform organizational planning and budgeting for global operations.

Support the full remit of the Strategy & Operations department, and the END Fund more broadly, as a senior member of a lean, nimble team.

  • Provide strategic counsel to senior leaders in areas of expertise
  • Provide excellent people management for at least one team member and consultant relationships
  • Participate in and support workstreams outside of the specific job description for the sake of the END Fund’s mission
  • Other projects as assigned.

EXPERIENCE AND EDUCATION

  • JD required. Admission to one or more US state Bar is mandatory; New York State Bar admission is preferred. (Candidate must be in good standing, and if not admitted in New York, they must be willing to register as in-house counsel in New York)
  • Working knowledge of the legal rules that apply to US 501(c)(3) tax-exempt organizations, including Delaware nonprofit law and New York law, is required. Working knowledge of the legal rules that apply to UK charitable organizations is highly desirable. A background in nonprofit law, employment law, or contracts is highly desirable
  • At least five years of relevant post-law school experience required in legal affairs, global operations, and/or corporate governance
  • Strong skills in building and maintaining working relationships and partnerships, both internally (across all departments and staff levels) and externally  
  • Excellent written and verbal communication skills 
  • Ability and confidence to identify areas for continuously improved productivity, efficiency and/or effectiveness and to propose better ways of working
  • Ability to work independently as well as a part of a collaborative team
  • Familiarity with global health issues, and/or an appetite and interest to learn
  • Ability and desire to travel internationally (estimated travel up to 20%)
