Board of Directors Opportunity at Opportunity Resource Services (ORS)

Opportunity Resource Services (ORS) is a well-established organization dedicated to breaking the cycle of generational poverty through education. Our mission focuses on connecting Texans to educational resources and fostering educated communities in both rural and urban North Texas. ORS is proud to have significantly impacted the lives of vulnerable populations in these regions.

We are currently seeking members for our Board of Directors, who will be responsible for overseeing the organization's operations, assets, and business affairs. The Board has the authority to make decisions and take lawful actions that comply with ORS's legal requirements, Certificate of Formation, and internal Bylaws.

Board Directors are expected to act in good faith, exercise ordinary care, and prioritize the best interests of ORS. They will not receive any salaries or compensation for their services but may be reimbursed for any actual expenses incurred while performing their duties.

Board Member Responsibilities:

Administrative Duties

• Ensure the appointment of a CEO
• Oversee and hold the CEO accountable
• Participate in strategic planning and goal setting
• Establish high-level organizational policies

Fiscal Duties

• Review financial reports quarterly
• Review financial audit reports annually
• Approve the organization's annual budget
• Participate in fundraising efforts (e.g., North Texas Giving Day)

Legal Duties

• Represent the organization and its interests above personal concerns
• Adhere to the conflict-of-interest policy
• Follow the Nondisclosure Agreement
• Comply with ORS bylaws, Texas State law, and Federal regulations

Ambassadorship Duties

• Advocate for and promote ORS, generating goodwill and support
• Connect with new communities, sponsors, foundations, and individuals

Meetings and Committees

• Attend and actively participate in scheduled board meetings each year
• Serve on at least one committee annually, including the Compensation Committee: Review and approve employee compensation and salary schedule changes
• Development Committee: Guide fundraising activities and initiatives
• Public Relations Committee: Enhance ORS's public image and presence
• Governance Committee: Assist in selecting new board members to help achieve organizational goals
