Board Member Duties


We seek new board members to provide strategic governance to the organization, particularly in the areas of public health, program management and fundraising.

Position Description: The Member at Large assists the Chair in achieving the goals of the organization and accepts duties as assigned by the Chair.

Commitment to Board Responsibilities

Duty of Care: Take care of the nonprofit by ensuring prudent use of all assets, including facility, people, and good will.

Duty of Loyalty: Ensure that the nonprofit's activities and transactions are, first and foremost, advancing its mission; recognize and disclose conflicts of interest; make decisions that are in the best interest of the nonprofit corporation; not in the best interest of the individual board member (or any other individual or for-profit entity).

Duty of Obedience: Ensure that the nonprofit obeys applicable laws and regulations; follows its own bylaws; and that the nonprofit adheres to its stated corporate purposes/mission.

Support Board Chair in all assigned duties and responsibilities.

Attend at least 75% of all Board meetings (4 per year) and meet all expectations and responsibilities of a Board member.

Commitment to Fundraising and Development

We ask that VHCMB is one of the top three charities that you support and that you will “give or get” an amount significant enough to enable us to fulfill our mission. “Give or get” refers to a donation of your personal funds or funds obtained from third parties via fundraising activities.

In making my contribution to VHCMB, I will determine what is both reasonable and meaningful for my gift. I understand that the President of VHCMB is always available to discuss with me my gift amount and any specific VHCMB work that I would like to help fund through my contributions.

I will actively participate in VHCMB fundraising activities and efforts, to the best of my

ability, including but not limited to:

1.       Writing thank you notes to major donors (list will be provided),

2.       Calling to say thank you to major donors (list will be provided),

3.       Contributing contacts for the year-end direct mail appeal and writing personalized notes or letters as needed/appropriate, and

4.       Contributing the contact information of new individuals or institutions who may be prospective supporters and/or partners for VHCMB.

Commitment to the Mission

1.       I will convey VHCMB work and values to the community, represent the organization, and act as a spokesperson.

2.       In turn, I will convey our constituencies' needs and values to VHCMB, speak out for their interests, and, on their behalf, hold the VHCMB accountable.

3.       I will stay informed about what is going on in the organization. I will ask questions and request information. I will participate in and take responsibility for making decisions on issues, policies, and other matters. I will not stay silent if I have questions or concerns.

4.       I will excuse myself from discussions and votes where I have a conflict of interest.

5.       I will work in good faith with staff and other board members as partners toward achievement of our goals.

·       Exposure to people from a variety of cultural backgrounds with diversity of professional distinctions
