Secretary (Remote, Volunteer, Part-Time)

 

Saya Institute is seeking a volunteer to serve as its Secretary.

 

This is a unique opportunity to offer your time and talent to a private foundation supporting crisis management, conflict resolution and peacebuilding efforts across Africa.

 

Saya Institute is a registered 501(c)(3) private foundation supporting crisis management, conflict resolution and peacebuilding efforts across Africa. Our programs are presently focused on Ethiopia, Somalia and South Sudan.

 

Saya Institute was incorporated in Kansas in 2015 and is a philanthropic initiative of Saya International Corporation.

 

The Secretary will be appointed by the Board of Directors and is expected to understand and commit to Saya Institute’s mission, charter, and other foundational documents. The Secretary is a position that ensures all rules and bylaws of the organization are adhered to by the Board of Directors during meetings and the implementation of Board decisions. The Secretary also ensures that all records and documentation for the organization are handled properly.

 

Legal Expertise:

 

While the Secretary is not required to be a lawyer, the role is legal in nature, and many large not- for-profit organizations choose to have an attorney act as secretary.

 

Appointment:

 

The Secretary is not a member of the Board of Directors.

 

The role of Secretary is a volunteer, unpaid position.

 

The Secretary is appointed by the Board of Directors every year.

 

Responsibilities:

 

The Secretary attends all Board of Directors meetings and review meeting materials.

 

The Secretary ensures that minutes are taken for all meetings of the Board of Directors.

 

The Secretary maintains corporate books and records for the Board of Directors.

 

The Secretary delivers all notices required to be given by the Board of Directors and acts as designated recipient for certain notices to the Board of Directors.

 

The Secretary keeps possession of the corporate seal.

 

The Secretary signs and/or affixes the corporate seal to any instrument when duly authorized to do so by the Board of Directors.

 

The Secretary provides certification to third parties of corporate actions approved by the Board of Directors.

 

If an attorney, the Secretary acts as a knowledgeable resource to the Board of Directors regarding state and federal laws and regulations pertaining to Saya Institute and its activities.

 

The Secretary does not provide legal advice to the Board of Directors or Saya Institute in his or her capacity as Secretary, but he or she may separately provide legal advice if retained as legal counsel to Saya Institute.

 

The Secretary performs all other duties pertaining to the office, as requested and/or required by the Board of Directors.

Remuneration:

 

This is a remote, volunteer, part-time position without remuneration, except for administrative support, travel, and accommodation costs in relation to the Treasurer’s duties including attending Board of Directors meetings and visiting our program locations. Board meetings will be held at either our principal executive office in Abilene, Kansas or representative office in Washington, D.C.
