Flexible Location

TNTP seeks a full-time Counsel for TNTP’s Legal Affairs team. This position can be based from a home office anywhere in the U.S., and is available immediately.  Occasional travel is required.

What You’ll Do

The Counsel will play a pivotal role on the TNTP Legal Affairs team. This individual will report to the Associate General Counsel. The Counsel is responsible for supporting all functions of the Legal team, with a primary focus on contracts, compliance, risk management, insurance, finance, grants, copyright, data privacy and security, licensing agreements, employment matters and advising the organization on a myriad of pressing issues both legal and non-legal in nature. This important legal work allows the organization to function at a high-level in its support of educational equality in states, school districts, and at individual schools.

Primary duties and responsibilities:

  • Manage a significant legal portfolio including revenue and procurement contracts, copyright, trademark, and program related matters, including:
  • Legal issues relating to programmatic affairs that affect the organization and its activities at the local, state and federal level
  • The contract implications of TNTP’s business objectives, including ensuring that all of TNTP’s staff are informed of applicable policies and practices
  • TNTP’s policy, procedures and operations related to the organization’s use of student data, ensuring compliance with Federal and State laws
  • Intellectual property, including licensing of images, videos, and other content
  • Negotiate, review and draft major contracts and agreements on behalf of the organization (Service Agreements, Licensing Agreements, non-disclosure agreements, partnership agreements, subawards, teaming agreements and other research based agreements, multi-party engagements/research engagements, university partnerships, grants, data sharing agreements, and Independent Contractor/Vendor Agreements), ensuring they are up-to-date and meet internal and external requirements and exercise a high-degree of flexibility and creativity as the services change and evolve. This includes:
  • Developing a deep understanding of our organization’s services and goals to ensure accurate and coherent representation within contracts.
  • Understanding, executing and monitoring procurement, contracting, and compliance requirements for TNTP.
  • Drafting and updating program scopes of work, ensuring input and/or approval from all stakeholders as applicable
  • Supporting responses to RFPs or similar procurement instruments by providing guidance on applicable laws and rules
  • Managing and implementing internal policies and procedures related to fee-for-service contracting
  • Reviewing grant agreements and reports, and facilitating the organization’s giving by advising staff on how to address legal aspects of grantmaking
  • Inform the development of new TNTP initiatives from a legal perspective and provide guidance on legal issues that help shape the organization’s direction and impact as a whole
  • Support development of training for staff around a broad array of issues including, but not limited to, FERPA, copyright, employment practices, corporate governance, role of contracts, terms and conditions, risk, and related key issues
  • Other duties and projects as assigned by the Associate General Counsel and General Counsel

Specific qualifications include:

  • Juris Doctorate (JD) from an accredited law school and 3-5 years of legal experience in a U.S. law firm, government or non-profit agency, or an in-house legal position
  • Strong experience with commercial, copyright and data privacy laws
  • Understanding of legal responsibilities and constraints of not-for-profit organizations
  • Evidence of a strong commitment to non-profit and education equity issues
  • Proven experience managing a high volume and variety of requests for legal opinion in a fast-paced environment.
  • Strong client service orientation with proven experience effectively supporting internal clients
  • Experience with using Salesforce or another CRM system to support operations (a plus)
  • Proven experience in creating effective working relationships between legal team and program staff
  • Ability to overcome barriers and meet goals
  • Ability to critically assess challenges and identify flexible, effective solutions
  • Strong oral, written and legal drafting communication skills

What We Offer

TNTP offers a competitive salary commensurate with experience in a similar position with the potential for an annual performance-based bonus. The salary range for this position is $80,000 - $120,000. New hires are typically brought into the organization at a salary between the range minimum and the salary range midpoint depending on qualifications, internal equity, and the budgeted amount for the role. We offer a comprehensive benefits plan, covering the majority of the employee premium for the base medical plan and subsidizing the majority of costs for a spouse/domestic partner and children. Other benefits include dental and vision plans, disability, life insurance, parenting benefits, flexible spending account options, generous vacation time, commuter benefits, referral bonuses, professional development, and a 403(b) plan with employer matching. We also offer an inclusive environment where staff are encouraged to bring their whole selves to work every day. TNTP may offer a relocation stipend to defray the cost of moving for this role, if applicable.
