    Board Secretary

    The Healing Initiatives, Incorporated (THI) is seeking an organized, mission-aligned professional to serve as its volunteer Board Secretary. This individual will serve as a voting member and officer of THI’s governing Board of Directors.

    ABOUT THI

    THI is a Maryland-based 501(c)(3) nonprofit arts and mindfulness wellness organization working to make total health accessible to all through a creative lens. Based in Baltimore, THI serves children, youth, adults, caregivers, and families through developing programs in expressive arts, mindfulness, wellness education, family-centered support, educational advocacy, community connection, and resource navigation.

    THI is strengthening its governing board, financial systems, partnerships, funding base, evaluation tools, and capacity to establish a stable community space in Baltimore.

    POSITION SUMMARY

    The Board Secretary will help establish and maintain accurate, transparent, and organized governance practices. The Secretary will work collaboratively with the Board of Directors and Executive Director while exercising independent judgment as a board member.

    This is a governance position—not a staff administrative assistant role.

    RESPONSIBILITIES

    • Attend, prepare for, and actively participate in scheduled board meetings and votes.
    • Record accurate meeting minutes, including motions, decisions, recusals, and action items.
    • Maintain official board records, resolutions, policies, attendance records, officer information, and approved meeting materials.
    • Support the preparation and distribution of meeting notices, agendas, and board packets.
    • Track required board actions, policy reviews, annual disclosures, and governance deadlines.
    • Help maintain compliance with THI’s bylaws, conflict-of-interest policy, document-retention practices, and board procedures.
    • Protect confidential organizational, personnel, financial, donor, and participant information.
    • Disclose actual or potential conflicts of interest and support proper documentation of recusals.
    • Participate in strategic planning, fundraising, community outreach, and responsible organizational growth as a member of the full Board.
    • Help ensure that governance decisions remain aligned with THI’s mission, values, charitable purpose, and legal responsibilities.

    QUALIFICATIONS

    • Strong organization, writing, communication, and recordkeeping skills.
    • Ability to manage confidential information with care and professionalism.
    • Ability to exercise independent judgment, meet deadlines, and follow through consistently.
    • Familiarity with digital document management, virtual meetings, and shared files.
    • Commitment to safety, trustworthiness, choice, collaboration, empowerment, dignity, inclusion, and accountability.
    • Alignment with THI’s arts, mindfulness, wellness, education, family-support, and community-development mission.

    Experience in nonprofit governance, board administration, compliance, legal administration, executive support, public administration, education, or records management is preferred. Previous board service is helpful but not required. Experience with founder-led or developing nonprofit organizations is also valuable.

    COMMITMENT AND SELECTION

    This is an unpaid volunteer board position. The anticipated commitment is approximately 5–8 hours per month, including meetings, preparation, minutes, recordkeeping, and follow-up. Additional time may occasionally be needed during board formation or major organizational decisions.

    Applicants moving forward will be asked to provide a current résumé and professional references. Qualified candidates will participate in a separate formal interview, review THI’s governing documents and board expectations, complete required disclosures, and undergo formal board consideration before appointment.
