Nonprofit Mergers & Acquisitions Attorney

Educate. Radiate. Elevate. (“E.R.E.”) is a 501(c)(3) nonprofit dedicated to providing free high-quality tutoring to students from under-resourced communities in Illinois and Texas since 2020. E.R.E. has been highly successful in opening educational pathways for the students it serves.

E.R.E. is in need of an M&A attorney, with experience in:

• Non-profit organizations
• Sell-side transactions

To address the following:

• Advise on a transaction’s structure
• Identify and address regulatory requirements
• Assist in due diligence
• Create and negotiate agreementsIdeally, this would be a legal team including two or more attorneys. The attorney(s) should have experience in non-profit corporate transactions, sufficient bandwidth to take on the tasks described above, and access as needed to subject-matter experts in fields such as employment, benefits, and intellectual property.

Specific deliverables include:

• Creating an agreement restricting the disclosure or use of information received by either party through discussions with the potential affiliation partner (applying both retroactively to the date of initial contacts as well as going forward)
• Reviewing the other organization's financial and organizational documents
• Advising on potential affiliation models
• If initial discussions appear productive, advising on the terms of and drafting a non-binding letter of intent
• Advising on the next steps in future negotiations - including diligence, negotiation, and drafting of a definitive agreement

We are looking for this work to be performed pro-bono.
