Descrição
- Take, circulate, and archive minutes for every board and committee meeting; get them formally approved at the following meeting
- Confirm and record quorum before any vote; document motions, seconds, vote counts, and abstentions
- Maintain the corporate record: articles of incorporation, bylaws, IRS determination letter, board resolutions, committee charters
- Collect signed conflict-of-interest disclosures annually and record recusals in the minutes when conflicts arise
- Track board terms, officer elections, and attendance against bylaw requirements
- Give notice of meetings in the manner and timeframe the bylaws specify
- Produce governance documents on request for auditors, grant due diligence, and bank or lease applications
