Purpose:
The Board Chair provides leadership to the Board of Trustees, presides over Board meetings, helps guide governance and strategic oversight, and works with fellow Trustees to ensure the organization is managed in alignment with its mission, and legal responsibilities.
Responsibilities:
- Maintain knowledge of the organization and personal commitment to its goals and objectives
- Preside over meetings of the Board of Trustees
- Help set Board meeting agendas and ensure orderly, effective governance processes
- Provide overall leadership to the Board in carrying out its responsibilities
- Support strategic planning, Board development, and organizational accountability
- Work closely with the Board to ensure board decisions are implemented
- Help ensure the organization maintains compliance with governing documents and applicable requirements
- Serve as ex officio participant on Board committees, where applicable
- Execute documents on behalf of the organization as authorized
- Perform other duties appropriate to the office of the Board Chair
Length of term: Two years
Time Commitment: As required to accomplish major duties
Reporting: The Board Chair reports to the Board of Trustees
Knowledge and Skills:
- Knowledge of the organization and personal commitment to its goals and objectives
- Strong leadership and governance experience, communication, judgement and decision-making skills, attention to detail and accountability
- Ability to chair meetings effectively and foster sound board processes
- Understanding of nonprofit governance, fiduciary duties, and strategic oversight
- Ability to coordinate across Trustees, committees, and organizational leadership
