    Summary

    This Secretary of the board of directors is an officer seat in the leadership group of Capital Resource Connections, responsible for a wide range of duties that are aimed at helping fellow board officers and members get the most out of their collaboration. The three-year term begins on the first of the month following the directors/officers' meeting that follows their election and ends at the close of the installation of directors/officers in the year the term ends. The Secretary may be elected to one additional consecutive term in the same position.

    Purpose

    The Secretary of the Board of Directors elected has a primary purpose to ensureorganized and accurate record keeping as well as all board meetings operatesmoothly. This is an essential role on the board of directors.

    Responsibilities

    The Secretary's responsibilities may differ slightly from time to time and may be customized according to the bylaws and needs of the organization over time. However, the main tasks of this role are outlined below.

    • Organizing meetings. The secretary schedules and prepares invitations for meetings. The person in this role also creates agendas according to our current bylaws and distributes them to officers and members, along with any supporting documentation.
    • Building communication. Being privileged with access to board members and executives, the secretary bridges the communication gap between them. If possible, this person will advise the board on specific issues.
    • Preparing materials. The secretary arranges meeting materials, such as reports and presentations, in accordance with Safe Place guidelines. These materials are distributed before the meeting unless regulations state otherwise.
    • Recording minutes. This is one of the essential secretary responsibilities on a board of directors. The secretary extracts key information from meetings, takes detailed minutes, and sends them to the full board of directors and executive staff within a week. This way, board members and executives can review materials while the meeting discussions are still “fresh” in their minds.
    • Maintaining documentation. The secretary reviews and updates documents, so they contain accurate and verified information. What’s more, this person is responsible for preserving all meeting records approved by officers and directors. Additionally, the secretary is responsible for creating corporate resolution.
    • Informing board members. The secretary informs meeting attendees of news affecting their board member responsibilities and explains how it applies to them. (e.g., they should be kept abreast of recent changes in legislation or relevant laws.)
    1. Recruit officers and members as needed.
    2. Be actively engaged in carrying out the impact and mission of Capital Resource Connections with the utmost professionalism.
    3. Facilitate various special projects as the need arises.
    4. Periodic submissions as a representative of Capital Resource Connections leadership for publications as needed.
    5. As appropriate, assist in the recruitment of future board members and nomination of award winners.
    6. Timely communication.

    Minimum Requirements

    • Must be fully proficient with Microsoft Office software including Word, Excel, Power Point, Outlook, Teams;
    • Ability to be trustworthy and execute actions in the best interest of the financial stability of Capital Resource Connections;
    • Participation in quarterly board of director meetings;
    • Professional member in good public standing;
    • Demonstrated involvement in local community outreach and/or advocacy, state and/or national levels;
    • Demonstrated commitment to Capital Resource Connections;
    • Compliance with the Capital Resource Connections Code of Ethical Standards;
    • Involvement in board-related activities;
    • Involvement in two multi-day board retreats per year;
    • Maintain board director fiduciary responsibilities as it relates to funding and the development of the organization; and
    • Enjoy advocating for the LGBTQIA+ community!

    The ideal candidate should have a minimum of four (4) years experience in this role or a similar role in a nonprofit organization.

    All board meetings are in-person, while all other tasks are to be completed remotely.
