Purpose:
The Secretary ensures that accurate and sufficient documentation exists to meet legal requirements, and to enable authorized persons to determine when, how, and by whom the Board's business was conducted. The Secretary, jointly with the Board Chair, maintains current records, manages minutes of board meetings, and ensures effective management of organization's records.
Responsibilities:
- Maintain knowledge of the organization and personal commitment to its goals and objectives
- Manage minutes of board meetings, including recording all actions taken by the Board
- Ensure minutes are distributed to members shortly after each meeting
- Be sufficiently familiar with legal documents to note applicability during meetings
- Serve as custodian of the organization's records
- Ensure that records are maintained of all board actions and policies
- Manage the general correspondence of the board
- Ensure that proper notification is given of directors' and members' meetings as specified in the bylaws
- Ensure that board members have required documents and materials before meetings
- Serve on the executive committee if one exists
- Ensure that an up-to-date copy of the bylaws is available at all annual meetings and that all Board members have an up-to-date copy
Length of term: Two years
Time Commitment: As required to accomplish major duties
Reporting: The secretary reports to the Board Chair and to the Board of Trustees
