    Job Description

    We are seeking a full-time associate to join our team! The associate will work under the supervision of our two partners, Amarah Sedreddine and Susan Whoriskey, and Senior Counsel, alongside our other associates and paralegal. Projects may include: (1) corporate formation and applications for federal and state tax-exempt status; (2) advising on and preparing governance documents and corporate policies; (3) negotiating, drafting and reviewing contracts, ranging from standard forms required in the course of day-to-day operations to complex grant agreements and specialized agreements for major corporate transactions, including mergers and acquisitions; (4) representing clients before the New York Charities Bureau, Internal Revenue Service, and other government agencies in connection with inquiries, investigations, and transactional matters requiring regulatory approval; (5) tracking and commenting on legislative developments affecting the sector; and (6) legal research and drafting on a variety of issues, from employment law to fiduciary duties to the First Amendment, consistent with our interdisciplinary approach.

    Qualifications

    We are looking for candidates with an excellent academic background, with three to five years at a firm and/or in-house; experience with tax-exempt and nonprofit law, corporate governance and/or corporate transactions; licensed to practice in New York, New Jersey, Illinois, California and/or Washington DC. Collegiality, good humor, attention to detail, and stellar research, communication and drafting skills are required. The ability to work independently, exercise judgment, and identify both legal and practical concerns for our clients is essential.

    On Compensation & Benefits

    The salary range for the position is $110,000-$135,000, with full benefits and flexible scheduling.
