Women of Color on the Move (WOCOTM) is a nonprofit organization dedicated to advancing equity, leadership, advocacy, and community empowerment for women, girls, and underserved communities. Our Board of Directors provides governance, fiduciary oversight, and strategic direction to ensure long-term sustainability and compliance with legal and ethical standards.
Position Summary
WOCOTM is seeking a qualified and mission-aligned Volunteer Board Member with Legal Expertise to provide guidance on legal, compliance, governance, and risk management matters. This Board Member will help ensure the organization operates in accordance with nonprofit laws, ethical standards, and best governance practices.
This is a governance role, not legal representation. The Board Member will provide strategic oversight and high-level legal insight but will not serve as personal or organizational legal counsel unless separately retained.
Board Members serve a three-year term and are voting members of the Board of Directors.
Key Responsibilities
Governance & Legal Oversight
- Provide guidance on nonprofit governance, bylaws, and policy development
- Support compliance with federal, state, and local nonprofit regulations
- Review and advise on contracts, memorandums of understanding (MOUs), and partnership agreements (as needed)
- Identify potential legal risks and recommend risk mitigation strategies
- Support ethical decision-making and fiduciary responsibilities of the Board
Policy & Compliance
- Assist in reviewing and updating organizational policies (e.g., conflict of interest, whistleblower, document retention, governance policies)
- Ensure Board practices align with nonprofit governance standards
- Support compliance related to fundraising, grant management, and reporting
Board Engagement
- Attend and actively participate in Board meetings and strategic planning sessions
- Serve on relevant committees (e.g., Governance, Executive, Risk Management)
- Contribute to strategic discussions and organizational decision-making
- Act as an ambassador for WOCOTM within professional networks
Qualifications
- Juris Doctor (J.D.) degree from an accredited institution
- Licensed attorney in good standing (state license preferred but not required if retired/inactive and serving in advisory capacity)
- Knowledge of nonprofit law, governance, compliance, or public policy
- Experience working with nonprofit organizations or community-based entities preferred
- Strong analytical, ethical, and strategic thinking skills
- Commitment to advancing equity and community empowerment
- Know how to used Microsoft 365
- Board dues
Time Commitment
- Attend regular Board meetings (monthly or quarterly)
- Participate in committee work as assigned
- Estimated time commitment: 4–8 hours per month
