Description
First Light Florida is a Florida nonprofit serving three populations in Lake County and the surrounding region: teens in crisis, military veterans and their families, and churches and faith-based organizations. Our anchor partner is Trinity Church in Eustis, FL. 501(c)(3) status is pending.
The Role
The Board Secretary & Governance Officer is a voting officer of the Board of Directors. The role combines the traditional Secretary function — maintaining records of the corporation — with hands-on support for governance compliance and contract administration. This is a working role, not a ceremonial one. You will not be asked to give legal advice or to act as counsel of record. You will be asked to keep our paperwork clean, our governance defensible, and our agreements organized.
Core Responsibilities
Record and maintain accurate minutes of all board and committee meetings
- Maintain the corporate records book, including bylaws, resolutions, and officer rosters
- Track board terms, officer elections, and meeting quorum
- Send official notices of meetings as required by the bylaws
- Maintain conflict of interest disclosures and the annual review process
- Support the board on policy adoption and review cycles
Contacts and Agreements
Maintain the central log of MOUs, service agreements, volunteer agreements, and partner contracts
- Review draft agreements for completeness, internal consistency, and alignment with board-approved policy
- Flag agreements that warrant outside attorney review before signature
- Track agreement renewal, expiration, and termination dates
- Support the Executive Director on standard agreement templates
Compliance Support
- Track filing deadlines for Florida nonprofit annual reports and federal tax-exempt filings
- Help prepare materials for the 501(c)(3) determination process
- Support audit and recordkeeping readiness as the organization grows
What were looking for?
Paralegal certificate, legal studies background, law-firm experience, or comparable working knowledge of contracts and corporate records
- Strong written communication and attention to detail
- Comfort with document management systems and basic compliance tracking
- Discretion with sensitive information, including personnel and minor-participant matters
- Ability to attend regular board meetings and respond to governance matters between meetings
- Alignment with the mission and standards of First Light Florida
Florida Bar licensure is welcome but not required. Nonprofit, church, or veteran-serving experience is valued. Candidates do not need to be lawyers and will not be expected to provide legal advice.
