- *Position Title:** Nonprofit Legal Counsel (Volunteer)

We’re looking for Legal Counsel to Provide legal advice and guidance on nonprofit governance, compliance, and operations. This role involves assistance with ensuring compliance with local, state, and federal nonprofit regulations. Experience or strong interest in nonprofit law is a plus.
A Nonprofit Legal Counsel is responsible for ensuring that a nonprofit organization operates within the legal framework governing charitable entities. They provide legal guidance, mitigate risks, and ensure compliance with nonprofit laws, employment regulations, and governance best practices.
- Ensure compliance with federal, state, and local laws governing nonprofit organizations (e.g., IRS 501(c)(3) requirements).
- Monitor and advise on changes in tax-exempt regulations and charitable solicitation laws.
- Oversee compliance with data privacy laws (e.g., GDPR, CCPA) if applicable.
- Provide legal guidance to the Board of Directors on fiduciary duties and corporate governance.
- Review bylaws, policies, and governance documents.
- Assist with board member conflicts of interest and ethical issues.
- Draft, review, and negotiate contracts, including grants, service agreements, and vendor contracts.
- Ensure compliance with funding agreements and donor restrictions.
- Advise on employment law, including hiring, termination, workplace policies, and wage compliance.
- Develop policies to protect against liability and legal claims.
- Prevent legal issues related to misuse of funds or donor misrepresentation.
- *Skills & Qualifications:**
✔ Law degree (J.D.) and licensed to practice in the relevant jurisdiction.
✔ Expertise in nonprofit law, tax exemption regulations, employment law, and contract law.
✔ Strong skills in risk assessment, compliance, and contract negotiation.
✔ Ability to work with executive leadership and board members.
✔ Experience handling litigation, labor law, and regulatory filings is a plus.
Flexible, 10-15 hours per week.
