Position Summary The Board Member serves as a visionary leader responsible for representing the organization’s "moral ownership" in determining and demanding appropriate organizational performance. This role focuses on providing strategic leadership, establishing governing policies, and ensuring the organization fulfills its social compact with the community while serving as a wise steward of resources.
Key Responsibilities
- Governance & Policy Development
- Mission Outcomes: Produce written governing policies describing what good is done, for whom, and at what cost.
- Organizational Health: Define expectations and limits for executive actions and decision-making frameworks.
- Governance Process: Specify how the Board will ensure excellence in governance and monitor its own performance.
- Strategic Leadership & Vision
- Future Planning: Look to the future and stay informed on issues and trends affecting the mission.
- Decision Making: Make decisions based on knowledge of community needs and best practices in alignment with the mission.
- Visionary Thinking: Engage in proactive and visionary deliberation, incorporating diverse viewpoints.
- Executive Linkage & Accountability
- CEO Relations: Establish the relationship between the Board and the CEO, defining their role, authority, and accountability.
- Performance Monitoring: Hold the CEO accountable by monitoring performance against board-established policies.
- Fiduciary & Legal Duties
- Duty of Obedience: Remain faithful to the organization's mission in all policies and actions.
- Duty of Care: Exercise the care that an ordinarily prudent person would in a similar position.
- Duty of Loyalty: Always put the best interests of Pretty With Purpose, Inc. first when making organizational decisions.
Performance Metrics
- Attendance: 100% attendance at regularly scheduled Board meetings is expected.
- Governance Review: Participate in regular monitoring and assessment of the Board’s process and performance at each meeting.
- Compliance: Annual completion and signing of full disclosure and conflict of interest statements.
