Description
Help Believe in Me maintain accurate, transparent, and accountable governance for programs serving underserved youth and young people.
The volunteer Board Secretary supports official board records, meeting documentation, notices, governance calendars, and policy files while protecting confidential information.
Responsibilities:
- Coordinate approved meeting notices, agendas, materials, attendance, and recordkeeping
- Draft accurate minutes that capture decisions, votes, recusals, assignments, and follow-up without unnecessary sensitive detail
- Maintain approved bylaws, policies, resolutions, committee records, terms, rosters, and governance calendars
- Track required approvals, reviews, filings, disclosures, and document-retention schedules
- Support secure access to board materials and version control
- Confirm minutes through the approved review and adoption process
- Protect participant, personnel, donor, legal, financial, and executive-session information
- Avoid changing records, speaking for the board, or making governance decisions outside delegated authority
- Escalate missing approvals, conflicts, record discrepancies, or compliance concerns
Qualifications:
- Experience in board administration, corporate or nonprofit records, executive support, legal administration, governance, or meeting documentation
- Exceptional accuracy, discretion, organization, writing, and follow-through
- Understanding of minutes, confidentiality, document control, and nonprofit governance
- At least 25 years old and willing to complete background and reference checks
- Ability to meet the approved officer term and meeting schedule
This is a remote governance role available within the United States. Expect approximately 4–7 hours per month.
