    Description

    Board Secretary (Volunteer)

    The Board Secretary serves a critical governance role by ensuring accurate documentation of Board activities and maintaining official organizational records. This position supports transparency, accountability, and compliance with nonprofit governance requirements and applicable state regulations. The Secretary works closely with Board leadership to ensure effective communication and proper recordkeeping.

    Key Responsibilities

    • Prepare and distribute Board meeting agendas in collaboration with the Board President.
    • Attend Board meetings and record accurate, timely meeting minutes.
    • Distribute approved meeting minutes to Board members in advance of subsequent meetings.
    • Track attendance, quorum, and record votes taken during Board meetings.
    • Maintain and safeguard official corporate records, including bylaws, policies, resolutions, and minutes.
    • Ensure organizational compliance with recordkeeping and filing requirements (e.g., meeting notices, annual reports).
    • Maintain updated Board contact lists, terms, and attendance records.
    • Support Board governance and continuity by maintaining organized documentation for reference and onboarding.

    Qualifications

    • Strong organizational and written communication skills.
    • Attention to detail and ability to maintain accurate records.
    • Familiarity with nonprofit boards or governance practices (preferred).
    • Comfortable using digital tools such as Google Drive, Microsoft Word, Zoom, and cloud-based file storage.
    • Commitment to the mission, values, and confidentiality expectations of We Are 1in4.
    • Ability to collaborate professionally with Board members and leadership.

    This is an unpaid, volunteer Board position with fiduciary responsibilities. Selected candidates may be asked to participate in a brief conversation with Board leadership and to complete a conflict-of-interest and confidentiality acknowledgment prior to appointment.
