    Description

    The Volunteer Legal Generalist supports TROA’s governance, compliance, and risk-management framework in accordance with IRS 501(c)(3) requirements, nonprofit corporate law, and board-approved policies. This role ensures that legal and governance processes are documented, tracked, and executed consistently, helping the organization meet its fiduciary duties of care, loyalty, and obedience.

    Volunteer Legal Generalist

    The Volunteer Legal Generalist functions as an internal operational resource and does not provide legal advice or serve as legal counsel.

    Governance & Fiduciary Alignment

    This role directly supports nonprofit governance best practices by:

      • Assisting the Board in maintaining compliant governance records.
      • Supporting leadership in upholding TROA’s charitable purpose.
      • Protecting the organization’s tax-exempt status through documentation, oversight, and policy enforcement.

    Primary ResponsibilitiesNonprofit Governance Support

      • Maintain official corporate records including bylaws, articles of incorporation, board resolutions, committee charters, and governance policies.
      • Assist in documenting board and committee actions to ensure proper oversight and fiduciary compliance.
      • Support annual governance reviews and board compliance checklists.

    Compliance & Regulatory Oversight

      • Assist with tracking federal and state compliance obligations, including:
      • IRS Form 990 support documentation
      • State charitable registrations and renewals
      • Conflict of Interest disclosures and annual acknowledgments
      • Ensure governance practices align with TROA’s charitable mission and IRS public-benefit requirements.

    Legal Operations & Contract Administration

      • Maintain and track contracts, MOUs, NDAs, partnership agreements, and vendor agreements.
      • Monitor execution status, renewal dates, termination clauses, and compliance requirements.
      • Prepare standardized documents using board-approved templates under leadership or counsel guidance.

    Policy Management & Internal Controls

      • Support development, distribution, and acknowledgment of board-approved policies including:
      • Conflict of Interest Policy
      • Whistleblower Policy
      • Code of Conduct
      • Records Retention & Destruction Policy
      • Assist leadership in ensuring consistent application of internal controls and ethical standards.

    Risk Management & Issue Documentation

      • Assist with documenting incidents, complaints, and compliance concerns in coordination with HR and leadership.
      • Maintain audit-ready records related to governance, ethics, and compliance matters.
      • Escalate potential legal, regulatory, or reputational risks to executive leadership or the board as appropriate.

    External Counsel & Advisor Coordination

      • Serve as an administrative liaison with external legal counsel, accountants, and compliance advisors.
      • Prepare documentation packets, timelines, and summaries for professional review.
      • Track deadlines, requests, and responses to ensure timely follow-through.

    Required & Preferred QualificationsPreferred Experience

      • Nonprofit governance, compliance, legal operations, or contracts administration.
      • Familiarity with IRS 501(c)(3) requirements and board governance structures.
      • Experience working with or supporting boards of directors or executive leadership.

      • All legal opinions, filings, and interpretations must be reviewed and approved by qualified legal counsel or authorized officers of the organization.

    Governance Safeguards

      • Subject to annual review by the Board or Governance Committee.
      • Required annual Conflict of Interest disclosure.
      • Confidentiality and data-handling agreements required.
      • Role authority defined by board-approved policies and charters.
