Position Overview
PhARM is seeking a volunteer General Counsel to provide pro bono legal guidance to support the organization’s governance, compliance, employment, and advocacy efforts. The volunteer advises on nonprofit legal matters, contracts, employment and labor law issues, and public policy activities to help ensure the organization operates ethically, transparently, and in alignment with applicable laws and regulations.
Key Responsibilities
- Review and advise on contracts, MOUs, and other legal documents.
- Provide counsel on nonprofit governance, including bylaws, board policies, and tax-exempt compliance.
- Advise on employment and labor law, including worker classification, wage/hour compliance, and related state and federal requirements.
- Draft and review employment- and volunteer-related documents such as handbooks, NDAs, offer letters, and independent contractor agreements.
- Ensure organizational policies align with federal and state nonprofit, employment, and labor laws.
- Advise on advocacy activities to ensure compliance with 501(c)(3) restrictions.
- Provide legal guidance on intellectual property, partnerships, and other matters within the volunteer’s expertise.
Qualifications
- Juris Doctor (J.D.) degree and active license to practice law in California.
- Minimum 3–5 years of relevant experience in nonprofit, employment/labor, corporate, or administrative law.
- Familiarity with nonprofit governance, tax-exempt regulations, and employment and labor law as applied to small nonprofits.
- Strong analytical, communication, and problem-solving skills.
- Commitment to the mission and values of PhARM.
