    Description

Pro Bono Nonprofit Legal Readiness Counsel (remote, W1-04-US)

    About the opportunity

Crew Scaler is seeking a Pro Bono Nonprofit Legal Readiness Counsel to help Crew Scaler put defined legal foundations in place before volunteers handle sensitive work or any learner enrolls.

This is a bounded pro bono project. The 2 volunteers may divide US nonprofit and contracts work from technology or international issue-spotting. Crew Scaler will provide existing drafts, a document inventory, decisions needed, and one executive contact. We will ask local counsel to answer jurisdiction-specific questions outside your competence.

You will receive a written scope, a 45-minute orientation, templates or examples, and a named Crew Scaler contact. Most work is asynchronous. We use short meetings and written progress notes so volunteers in different time zones can contribute. We will not add major duties without discussing the time and scope with you first.

    About Crew Scaler

Crew Scaler is a U.S. tax-exempt nonprofit organization (501(c)(3)). The U.S. IRS certified us, and we are committed to U.S. rigorous standards for certified non-profit organizations. Our board brings ~66+ years of U.S. Government & Military Experience and ~20+ years total Private Sector Experience with Apple, IBM, Tesla, and Synact. Our founder runs an AI Upskilling program for the U.S. Government, and we presented at NIST on Security Considerations for Multi-agent AI Systems. We help students, displaced workers, practitioners, and small organizations build useful AI capability with clear safeguards through open learning resources, applied research, small peer learning groups, and partnerships, including other AI research results and award-winning applications. We are exploring opportunities in Vietnam, South Korea, Japan, and Australia, and will launch only where demand, funding, local capacity, and learner protections are credible.

    What you will do

    • Review the volunteer agreement under US and Arizona law, including conduct, confidentiality, data handling, IP assignment (TECH-01), conflicts, and ending a placement
    • Review or draft reusable participant terms, AI-generated content disclaimers under TECH-05, complaints/review procedures, and media/research permissions (COMM-04)
    • Review pilot/host agreements and evaluate outcome-fee risks in target markets (such as Vietnam Labor Code regulations on recruitment fees and wage deductions)
    • Advise on FLSA volunteer-versus-employee boundaries and separation between charitable programs and commercial platform activity
    • Create an issues list that distinguishes US launch requirements, open-source vs. proprietary IP protections, and matters requiring local foreign counsel

    What you will complete

By the end of the initial term, the expected outputs are reviewed core agreements, participant protections, and a prioritized legal issues memo. The normal collaboration pattern is a kickoff, 2 or 3 working sessions, and a closeout review. If evidence, approvals, or partner timing blocks an output, you will document the blocker and complete the parts within the volunteer team's control.

    What you bring

    • Attorney licensed and in good standing in at least one US jurisdiction
    • Relevant practice in nonprofit, commercial contracts, education, technology, privacy, intellectual property, or cross-border programs
    • Ability to give practical, plain-language advice and identify limits
    • Employer approval for pro bono service and no unmanageable conflict

    Helpful, but not required:

    • Experience with Arizona nonprofits, international education, digital learning, or open-content licensing
    • Ability to coordinate with local counsel in one exploration country

What you can learn and build

    • Apply legal judgment to an early-stage international education and responsible-AI program within a bounded pro bono engagement
    • Shape reusable agreements and a risk-prioritized legal readiness checklist for your professional portfolio
    • Work with privacy, finance, program, and country volunteers on connected launch decisions
    • Receive formal pro bono hours verification and executive reference documentation

    Support and boundaries

This is an unpaid volunteer opportunity. It does not promise employment, compensation, certification, academic credit, immigration benefits, or future paid work. After successful service, Crew Scaler can confirm your hours and completed outputs, provide public credit with your consent, and consider a reference based on work we directly observed.

    How to apply

Include the requested screening answer and a resume, LinkedIn profile, portfolio, or short work sample only where relevant. We review on a rolling basis and aim to reply within 7 days. The next step is a 20- to 30-minute conversation, followed by references or a work sample only when the role's access or professional duties justify them. Questions: volunteer@crewscaler.org.
