    About Centurions Michigan

    Centurions Michigan is a volunteer-driven nonprofit dedicated to combating human trafficking through awareness, prevention, and survivor support. Our mission is to educate the community on human trafficking and aid law enforcement on all levels to identify, rescue and rehabilitate victims of human trafficking.

    Position Overview

    We are seeking a driven and relationship-oriented volunteer to competently serve as a board member as both Secretary and Treasurer. This key member of the Board of Directors is responsible for supporting the governance, financial stewardship, and administrative oversight of Centurions Michigan. This individual ensures the organization maintains accurate records, complies with legal and financial reporting requirements, and upholds the organization’s mission to educate communities, support law enforcement, and combat human trafficking through investigative and prevention efforts.

    This position requires integrity, confidentiality, organizational skills, and a commitment to nonprofit governance.

    Key Responsibilities

    • Actively participate as a voting member of the Board of Directors.
    • Attend and actively contribute to monthly board meetings and special meetings.
    • Assist in establishing organizational policies and strategic direction.
    • Ensure decisions align with the organization’s mission, vision, and bylaws.
    • Maintain confidentiality regarding sensitive organizational matters.
    • Participate in annual strategic planning and organizational evaluations.
    • Serve on committees as assigned.

    Secretary Responsibilities

    • Prepare and distribute meeting agendas in coordination with the Board Chair.
    • Record accurate minutes for all Board meetings.
    • Maintain official Board records and corporate documents.
    • Track Board member attendance.
    • Maintain the Board calendar and annual meeting schedule.
    • Ensure meeting notices are sent in accordance with the bylaws.

    Maintain and organize:

    • Articles of Incorporation
    • Bylaws
    • Board resolutions
    • Meeting minutes
    • Committee reports
    • Conflict of Interest disclosures
    • Annual reports
    • Organizational policies
    • Board member roster

    Assist in ensuring compliance with:

    • Michigan Nonprofit Corporation Act
    • IRS requirements for 501(c)(3) organizations
    • Annual Board documentation
    • State reporting requirements
    • Organizational record retention policies

    Treasurer Responsibilities

    • Monitor the organization’s financial health.
    • Review monthly financial reports.
    • Present financial updates during Board meetings.
    • Assist with annual budget development.
    • Monitor expenditures against the approved budget.
    • Ensure proper financial controls are maintained.

    Review and present:

    • Monthly income statements
    • Balance sheets
    • Budget-to-actual reports
    • Cash flow reports
    • Annual financial summaries

    Help ensure:

    • Timely filing of IRS Form 990
    • State charitable registration compliance
    • Proper grant financial reporting
    • Accurate accounting records
    • Compliance with donor restrictions
    • Compliance with internal financial policies
    • Review bank reconciliations.
    • Monitor cash reserves.
    • Verify financial transactions.
    • Assist with approval of major expenditures.
    • Maintain oversight of organizational financial accounts.

    Organizational Leadership

    Support organizational leadership by:

    • Promoting ethical leadership
    • Supporting fundraising initiatives
    • Assisting with grant oversight
    • Building community partnerships
    • Serving as an ambassador for Centurions Michigan
    • Supporting transparency and accountability

    Qualifications

    • Passion for combating human trafficking.
    • Commitment to the mission of Centurions Michigan.
    • Strong organizational skills.
    • Excellent written communication skills.
    • Basic understanding of nonprofit financial management.
    • Ability to maintain confidential information.
    • Experience with budgeting or bookkeeping preferred.
    • Familiarity with Microsoft Office and Google Workspace.
    • Ability to work collaboratively with Board members and volunteers.
    • Background checks and relevant clearances are required.
