PCDC, a nationally recognized 501(c)(3) community development financial institution (CDFI), provides capital financing, expertise, and advocacy to expand primary care access and advance health equity in communities that need it most.

    Built on its 30 years of experience, PCDC is a statewide convener and primary care expert that brings safety net providers together to develop care models and business practices necessary to remain longstanding, viable businesses with measurable impact. In addition, we continue to support providers to succeed in various State and Federal-led transformation initiatives (e.g., AHEAD, the NY 1115 Medicaid Waiver, Patient-Centered Medical Home, etc.).

    The Staff Attorney will provide comprehensive legal counsel on transactional matters that face PCDC. As a nonprofit operating in highly regulated environments (lending and healthcare), PCDC’s need for legal support has grown. Reporting to the VP of Operations, this role will identify and manage existing and emerging risks, and ensure PCDC complies with healthcare regulations, and nonprofit requirements while supporting strategic initiatives that expand access to care and financial resources for underserved communities. This work will involve drafting and reviewing complex contracts, assisting in negotiation, and offering strategic guidance, trusted advisor.

    • Hourly rate Range: $65/hour - $75/hour
    • Work environment: Hybrid in New York State; some travel to PCDC offices expected.
    • Work schedule: 15 to 20 hours per week.

    This position could need to travel to the PCDC office at least 1 day/week or as needed; remote the rest of the week.

    Job duties & Responsibilities:

    • Provide legal advice and judgment on a wide range of transactional matters. Draft, review, and negotiate a wide range of contracts, including revenue-generating consulting engagements, grant agreements from federal, state, and private foundations, vendor contracts, business associate agreements, data use agreements, and non-disclosure agreements.
    • Provide legal guidance on employment law matters, including hiring, termination, workplace policies, ADA accommodations, and employee relations.
    • Ensure compliance with federal and state nonprofit laws, tax exempt requirements, charitable solicitation rules, and annual reporting obligations.
    • Provide training to staff on contract procedures and compliance requirements.
    • Identify and surface legal risks across organizational activities. Recommend initiative-taking strategies to mitigate risk, including program / compliance controls, and internal policies.
    • Assist with drafting and updating employee handbooks and HR policies.
    • Support investigations and compliance with employment related regulations.
    • Support development and maintenance of policies and procedures to ensure compliance with healthcare regulatory standards.
    • Coordinate with external counsel on specialized matters as needed.

    Qualifications:

    • JD from an accredited U.S. law school and licensed to practice in New York State.
    • At least 3 to 5 years of legal experience, preferably including nonprofit law and business transactional law (creation, negotiation, and enforcement of business agreements). Experience in healthcare or CDFI a plus.
    • Minimum of 2 years of business contract review experience including, but not limited to grant-related agreements, subrecipient contracts, MOU, and foundation grant terms.
    • Deep knowledge of nonprofit law, employment law (federal and multistate), and contract law.
    • Mission Alignment and Cultural Competence: Able to understand the stake of PCDC’s work and can successfully work within framework and context of the organization’s mission and values.
    • Demonstrated experience building relationships and sustaining trust.
    • Judgement and Risk Calibration: Demonstrated ability to analyze complex legal issues, advise on acceptable risk, know when to escalate, and provide practical, solutions-oriented advice for resolution.
    • Well-developed translation skills which distill complex legal risk information into usable language that drives collaboration and facilitates productivity.
    • Able to communicate credibly across a diverse range of audiences without defaulting to legalese.
    • Ability to manage multiple priorities, work independently, and collaborate with diverse teams.
    • Intermediate MS Office, Excel, and PowerPoint skills fluency level.
    • Discretion and Confidentiality: Functioning with certainty and knowing what to hold, share, escalate; experience navigating sensitive situations.
    • Experience with HIPAA, HITECH, and healthcare compliance frameworks.
