The Volunteer Board Secretary is a core governance officer responsible for ensuring WSUA maintains accurate records, compliant documentation, and strong organizational continuity. This role is central to board effectiveness: the Secretary safeguards institutional memory, supports legal compliance, and helps the board operate smoothly as WSUA grows.
This is a governance‑level volunteer position, not an administrative staff role.
Key Responsibilities
- Prepare and distribute agendas, board packets, and meeting materials.
- Record accurate minutes for quarterly board meetings and maintain official records.
- Track board actions, votes, and follow‑up items to ensure accountability.
- Maintain organizational documents, including bylaws, policies, and governance records.
- Support compliance tasks such as annual filings, board resolutions, and documentation reviews.
- Coordinate communication between board members and ensure timely information flow.
- Assist with onboarding new board members and maintaining governance continuity.
Qualifications
- Strong organizational and documentation skills.
- Ability to write clear, accurate, and neutral meeting minutes.
- Familiarity with nonprofit governance or willingness to learn.
- Reliability, discretion, and commitment to ethical stewardship.
- Comfort working in a remote, collaborative environment.
- Prior board or nonprofit experience is helpful but not required.
Eligibility Requirement
Because this is a fiduciary governance role involving U.S. compliance and nonprofit oversight, applicants must be U.S. citizens or lawful permanent residents.
Time Commitment
- Approximately 3–6 hours per month.
- Attendance at quarterly board meetings (virtual).
- Occasional coordination or document updates between meetings.
